Evaluation License Agreement

This Evaluation License Agreement ("Agreement") governs your institution's access to the Zyqual platform for the sole purpose of evaluating whether it is suitable for adoption. It is in addition to — and does not replace — our Terms of Use and Privacy Policy.

1. Grant of License

Subject to this Agreement, Zyqual Ltd. ("Zyqual") grants you and your institution a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Zyqual platform (including any modules Zyqual makes available to you during the evaluation period) solely for the purpose of internal assessment.

2. Evaluation Period

The evaluation period begins on the date your evaluation account is activated and continues for the duration specified in your registration agreement or written confirmation from Zyqual. If no duration is specified, the evaluation period is 90 days. Zyqual may extend or shorten this period in writing.

3. Scope of Use

During the evaluation period, you may:

  • Explore Platform features and modules enabled for your account
  • Enter sample or pilot data for assessment purposes
  • Invite a reasonable number of colleagues to participate in the evaluation
  • Generate reports and dashboards to assess the Platform's fit for your institution

4. Restrictions

You may not:

  • Use the Platform for any commercial, production, or live-service purpose beyond internal evaluation
  • Copy, modify, translate, or create derivative works of the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Redistribute, sublicense, rent, lease, or sell access to the Platform or its outputs
  • Remove or obscure any proprietary notices, trademarks, or attribution
  • Use benchmarks, performance data, or screenshots for public or competitive purposes without Zyqual's written consent
  • Use the Platform to build or inform a competing product

5. Evaluation Data

Data entered during the evaluation period is treated as "Evaluation Data". Evaluation Data may be subject to different retention and backup policies than production data. Do not upload sensitive student, financial, or health records unless your evaluation agreement expressly permits it. At the end of the evaluation period, Evaluation Data may be archived, returned, or deleted in line with the evaluation agreement.

6. Intellectual Property

The Platform and all related materials — including software, models, rubrics, standards libraries, AI prompts, documentation, and branding — are and remain the intellectual property of Zyqual Ltd. or its licensors. No ownership rights are transferred under this Agreement. Any feedback you provide about the Platform may be used by Zyqual to improve the product without obligation.

7. No Warranty

THE PLATFORM IS PROVIDED FOR EVALUATION "AS IS" AND "AS AVAILABLE", WITH NO WARRANTY OF ANY KIND. DURING THE EVALUATION PERIOD, ZYQUAL PROVIDES NO UPTIME, SUPPORT, OR PERFORMANCE GUARANTEES BEYOND THOSE SPECIFIED IN WRITING.

8. Confidentiality

You agree to treat non-public information about the Platform — including unreleased features, pricing discussions, and technical documentation — as confidential, and not to disclose such information to third parties without Zyqual's prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Zyqual's total liability arising out of or relating to this Evaluation License Agreement shall not exceed JMD 10,000. Zyqual shall not be liable for any indirect, incidental, or consequential damages arising from evaluation use of the Platform.

10. Termination

Zyqual may terminate this Agreement and your evaluation access at any time, for any reason, with or without notice — including if you breach this Agreement or our Terms of Use. Upon termination, all rights granted under this Agreement cease immediately and you must stop all use of the Platform.

11. Transition to Full Access

If, at the end of the evaluation period, your institution wishes to continue using Zyqual, we will work with you to transition to a full, non-evaluation agreement governed by our standard Terms of Use.

12. Governing Law

This Agreement is governed by the laws of Jamaica. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Jamaica.
